Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ContraDatum website, application, and related services (“ContraDatum,” the “Service,” “we,” “our,” or “us”).

By creating an account, purchasing a subscription, accessing, or using ContraDatum, you agree to these Terms. If you do not agree to these Terms, do not use the Service.

1. About ContraDatum

ContraDatum is a software platform designed to help contractors and other service businesses manage estimating and related business workflows.

Features may include customer management, project estimating, cost tracking, markup and margin calculations, estimate and report generation, project scheduling, Google Calendar integration, customer scheduling notifications, business performance information, and administrative account management.

ContraDatum is a software tool only. It does not replace professional accounting, tax, legal, engineering, estimating, insurance, or financial advice.

2. Eligibility

You must be legally capable of entering into a binding agreement to use ContraDatum. The Service is intended primarily for businesses, contractors, and adult users.

By using ContraDatum, you represent that you are at least 18 years old, have authority to enter into these Terms, provide accurate and current information, and have authority to bind any business on whose behalf you use the Service.

3. Account Registration

You are responsible for maintaining accurate account information, protecting your password and login credentials, maintaining control of the email address associated with your account, and all activity performed through your account.

You must notify ContraDatum promptly if you believe your account has been accessed without authorization.

4. Account Plans

ContraDatum may offer Trial, Annual, Complimentary, Internal, or other plans. Features, access duration, eligibility, pricing, and limitations may vary by plan.

5. Trial Accounts

ContraDatum may offer free or limited-time trial access. Trial duration may vary. A trial account may automatically lose access when the trial period expires unless the user purchases or receives another qualifying access plan.

6. Paid Subscriptions

Certain ContraDatum features or account access may require a paid subscription. Subscription pricing, billing frequency, and applicable taxes will be displayed before purchase.

Payments may be processed by third-party payment providers such as Stripe.

7. Renewal and Cancellation

If a subscription is offered on an automatically renewing basis, the subscription may renew at the end of the applicable billing period unless canceled before renewal.

Unless otherwise stated at the time of purchase, cancellation generally prevents future renewal and does not immediately terminate access already paid for through the current subscription period.

8. Refunds

Fees paid to ContraDatum are subject to the refund or cancellation terms presented at the time of purchase. Unless otherwise required by law or specifically stated by ContraDatum, payment of subscription fees does not automatically guarantee a refund after access has been provided.

9. Estimates and Calculations

ContraDatum provides tools that help users calculate and prepare estimates based on information entered by the user.

ContraDatum does not guarantee that an estimate will be accurate, costs will match actual project expenses, material prices will remain unchanged, labor estimates will match actual hours, calculated margins or profits will be achieved, a customer will accept an estimate, or a project will produce a particular financial result.

Users are responsible for reviewing all estimates, calculations, pricing, tax settings, rates, quantities, and project information before using or sending them.

10. Business Decisions

You remain solely responsible for business decisions, including pricing, markups, margins, labor rates, material pricing, tax treatment, customer contracts, project scheduling, subcontractors, equipment decisions, and financial decisions.

ContraDatum does not act as your accountant, attorney, tax advisor, estimator, contractor, project manager, or financial advisor.

11. User Content

You retain ownership of your business content. By using the Service, you grant ContraDatum the limited rights necessary to store, process, display, transmit, back up, and otherwise handle that content solely as necessary to operate and provide the Service.

ContraDatum does not claim ownership of your customer lists, project information, estimates, or other business content.

12. Responsibility for Customer Information

If you enter information about customers, employees, subcontractors, vendors, or other third parties, you are responsible for having the appropriate authority or lawful basis to use that information and for complying with applicable privacy, communications, and recordkeeping laws.

13. Google Integration

ContraDatum may allow users to connect a Google account to enable optional features such as Google Calendar scheduling, calendar event updates, and email notifications through Gmail.

Google integration requires the user to authorize the applicable permissions. ContraDatum cannot guarantee uninterrupted availability of Google services.

14. Third-Party Services

ContraDatum may rely on third-party providers, including Supabase, Stripe, Google, and hosting, infrastructure, email, analytics, or other operational providers.

Use of these third-party services may also be subject to their own terms and policies.

15. Acceptable Use

You agree not to use ContraDatum to violate applicable law, commit fraud, infringe intellectual property rights, access another user’s account without authorization, bypass account restrictions, interfere with ContraDatum systems, introduce malware, attempt unauthorized access, scrape or reverse engineer protected portions of the Service except where permitted by law, abuse trial accounts, or send unlawful, deceptive, abusive, or unsolicited communications.

16. Account Suspension

ContraDatum may suspend access to an account for nonpayment, subscription expiration, suspected fraud, security concerns, violation of these Terms, abuse of the Service, or legal or regulatory requirements. Suspension does not necessarily delete account data.

17. Account Termination

You may stop using ContraDatum at any time. ContraDatum may terminate or restrict access if these Terms are materially violated, payment obligations remain unresolved, continued access creates a security or legal risk, the Service is discontinued, or termination is required by law.

18. Service Availability

ContraDatum is designed to provide reliable access, but uninterrupted availability is not guaranteed. The Service may occasionally be unavailable because of maintenance, software updates, hosting issues, Internet outages, third-party service interruptions, security incidents, technical failures, or events outside reasonable control.

19. Data Backups

ContraDatum may use infrastructure and backup systems intended to protect application data. Users should not treat ContraDatum as the sole archival location for legally or financially critical records.

20. Intellectual Property

ContraDatum and its associated software, interface, designs, branding, logos, documentation, features, and underlying technology are protected by applicable intellectual property laws.

You may not copy, sell, sublicense, redistribute, or commercially exploit ContraDatum’s proprietary software or branding without permission.

21. Feedback

If you provide ideas, suggestions, feature requests, or other feedback regarding ContraDatum, you grant ContraDatum permission to use that feedback to improve or develop the Service without obligation to compensate you.

22. No Guarantee of Business Results

ContraDatum does not guarantee increased revenue, increased profitability, more customers, higher closing rates, reduced costs, successful bids, accurate project outcomes, or any particular business result.

23. Disclaimer of Warranties

To the extent permitted by law, ContraDatum is provided on an “as is” and “as available” basis.

24. Limitation of Liability

To the maximum extent permitted by applicable law, ContraDatum will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the Service, including loss of revenue, profits, business opportunities, data, contracts, customers, or reputation.

ContraDatum is not responsible for financial losses resulting from estimates, calculations, pricing decisions, scheduling decisions, or project information entered by users.

25. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless ContraDatum from claims, damages, liabilities, expenses, or losses arising from your misuse of the Service, violation of these Terms, violation of applicable law, information or content you enter into ContraDatum, dealings with customers, subcontractors, employees, or vendors, or your projects, estimates, contracts, or business activities.

26. Changes to the Service

ContraDatum may add, remove, modify, or improve features at any time and may change technical requirements, integrations, subscription plans, or pricing.

27. Changes to These Terms

ContraDatum may update these Terms from time to time. Updated Terms will be posted on the ContraDatum website with a revised effective date.

28. Governing Law

These Terms are governed by the laws applicable to the operator of ContraDatum, without regard to conflict-of-law principles, except where applicable consumer or other mandatory laws require otherwise.

When ContraDatum’s legal operating entity is formally established or updated, this section may be revised to identify the specific governing jurisdiction.

29. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

30. Entire Agreement

These Terms, together with the Privacy Policy and any additional policies or purchase terms presented by ContraDatum, constitute the agreement governing use of the Service.
